1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Prazyl LLC ("Company," "we," "us," or "our") governing your use of the PRĀZYL claims management platform, including all related features, tools, and services (collectively, the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

PRĀZYL is a claims management platform designed for insurance appraisers and claims professionals. The Service includes:

• Claims Management: Track insurance claims, policyholders, property details, and claim status
• Calendar & Scheduling: Manage appointments, inspections, and scheduling with route optimization
• Photo Management: Upload, organize, and categorize claim-related photos
• Document Storage: Store and manage claim documents, reports, and correspondence
• Contact Management: Maintain contacts including policyholders, contractors, and insurance carriers
• Invoice & Payment Tracking: Create invoices and track payments for claims work
• Email Integration: Connect email accounts to manage claim-related correspondence
• AI-Powered Features: Intelligent assistance including email summarization, photo categorization, and claim suggestions
• Reporting: Generate reports on claims activity, revenue, and performance metrics

3. AI-Powered Features and Data Processing

The Service incorporates artificial intelligence capabilities powered by Anthropic's Claude API to enhance your workflow:

• HAZYL AI Assistant: An AI assistant that can answer questions about claims, provide suggestions, and help with tasks
• Email Summarization: Automatic summarization of email content to quickly understand correspondence
• Smart Claim Linking: AI analysis of emails to suggest which claims they relate to
• Photo Categorization: Automatic categorization and damage detection in uploaded photos

Important: When you use AI features, relevant data (email content, photos, claim information) is sent to Anthropic's Claude API for processing. This data is transmitted securely and is not used to train AI models. AI-generated suggestions are provided as assistance only; you are responsible for reviewing and verifying all AI outputs before taking action.

4. Third-Party Integrations

The Service integrates with third-party platforms to extend functionality. By connecting these services, you authorize us to access and process data from these platforms on your behalf:

4.1 Google Integration

Connect your Google account to access Gmail (read and send emails), Google Calendar (view and create events), Google Contacts, Google Tasks, and Google Drive (sync documents and photos). Your use of Google services is also subject to Google's Terms of Service and Privacy Policy.

4.2 Microsoft Integration

Connect your Microsoft account to access Outlook email, Microsoft Calendar, and OneDrive for document and photo sync. Your use of Microsoft services is subject to Microsoft's Terms of Service and Privacy Policy.

4.3 QuickBooks Integration

Connect your QuickBooks Online account to sync invoices, track payments, and manage customer data. Your use of QuickBooks is subject to Intuit's Terms of Service and Privacy Policy.

You may disconnect any integration at any time through the Settings page. We are not responsible for the availability, accuracy, or practices of third-party services.

5. Data Storage and Security

Your data is stored using Supabase, a secure database platform. We implement the following security measures:

• Encryption of data in transit using TLS/SSL
• Encryption of data at rest
• Row-level security ensuring users can only access their own data
• Secure authentication with email verification
• Regular security monitoring and updates

Files (photos, documents) are stored in secure cloud storage with access controls. While we implement industry-standard security practices, no system is 100% secure, and we cannot guarantee absolute security.

6. Payment Processing

Subscription payments are processed securely through Stripe. We do not store your complete credit card information on our servers. Stripe handles all payment processing in compliance with PCI-DSS standards.

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through the Settings page or by contacting support.

7. Subscription Plans and Billing

The Service offers multiple subscription tiers with varying features and limits. Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan.

• Free trials, when offered, provide temporary access to premium features
• Upgrades take effect immediately with prorated billing
• Downgrades take effect at the end of the current billing period
• Refunds are provided only as required by law or at our discretion

8. User Content and Data Ownership

You retain full ownership of all data, documents, photos, and content you upload to the Service ("User Content"). By using the Service, you grant us a limited license to store, process, display, and transmit your User Content solely to provide the Service to you.

You are solely responsible for:

• The accuracy and legality of your User Content
• Ensuring you have the right to upload and use all content
• Maintaining appropriate backups of your data
• Compliance with applicable privacy laws when handling policyholder data

9. Your Rights Regarding Your Data

You have the following rights regarding your data:

• Access: Request a copy of all data we store about you
• Correction: Update or correct inaccurate data through your account settings
• Deletion: Request deletion of your account and associated data
• Export: Export your data in standard formats (CSV, JSON)
• Portability: Transfer your data to another service

10. California Consumer Privacy Act (CCPA)

If you are a California resident, you have additional rights under the CCPA:

• Right to know what personal information we collect, use, and disclose
• Right to delete personal information we hold about you
• Right to opt-out of the sale of personal information (we do not sell personal information)
• Right to non-discrimination for exercising your CCPA rights

To submit a CCPA request, email privacy@prazyl.com with "CCPA Request" in the subject line.

11. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Upload content that infringes intellectual property rights
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service's operation
• Use automated tools to scrape or extract data from the Service
• Share your account credentials with others
• Resell or redistribute the Service without authorization
• Upload malicious code, viruses, or harmful content

12. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Prazyl LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated content and suggestions are provided for informational purposes only and should not be relied upon without independent verification. We do not guarantee the accuracy of AI outputs.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAZYL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Prazyl LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

16. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination:

• Your access to the Service will immediately cease
• You may request export of your data before termination
• We will delete your data within 30 days unless retention is required by law
• Any outstanding subscription fees remain due

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

18. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Texas. You agree to submit to the personal jurisdiction of these courts.

19. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Prazyl LLC.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign your rights under these Terms without our consent.
